TERMS & CONDITIONS OF USE – ORACIA

1. Definitions

"Platform" = the Oracia SaaS application; "Client" = the real-estate company subscribing to the service; "End-Users" = brokers or agents authorized by the Client; "Meta" = Meta Platforms Inc.; "WABA" = WhatsApp Business Account created or managed through Oracia.

2. Contractual Hierarchy

2.1 These Terms govern access to the Platform and incorporate the WhatsApp Business Terms of Service, the WhatsApp Business Messaging Policy and the WhatsApp Business Platform Policy. If any conflict arises, Meta's policies prevail.

2.2 The Client confirms that it —and its End-Users—have read and accept all referenced Meta policies.

3. Scope of Service

3.1 Oracia provides:

  • a) Native integration with the WhatsApp Cloud API via Meta-issued system-user tokens.
  • b) An AI Suggestion Engine and Autopilot that (i) generate replies only within the 24-hour customer-service window or via an "APPROVED template," (ii) log all automated outbound messages, and (iii) immediately honour end-user stop-words or global opt-outs.
  • c) Automated CRM synchronization and encrypted knowledge-based storage.
  • d) A quality dashboard covering deals, clients, and key insights structured.

3.2 Oracia does not supply telecommunications services; Meta conversation fees remain the Client's responsibility.

4. Client Responsibilities

  • 4.1 Complete Business Verification and maintain valid payment details with Meta.

  • 4.2 Obtain documented opt-in from each consumer before sending Marketing or Utility messages.

  • 4.3 Use approved templates only when initiating messages outside the 24-hour window.

  • 4.4 Keep all content compliant with Meta's Messaging Policy (no spam, illegal or hateful content).

  • 4.5 Use display names that accurately reflect the Client's legal brand.

5. Oracia Obligations

5.1 Host data in U.S. AWS regions; encrypt at rest (AES-256) and in transit (TLS 1.2+).

5.2 Retention

  • a) Cloud-API message payloads (including media IDs) are stored for a maximum of 30 days.
  • b) Extended storage is disabled by default. It may be enabled only when the Client has obtained documented, granular end-user consent or is under a legal obligation to retain data; Oracia will store the consent artefacts.
  • c) Encrypted backups exclude message content after 30 days; configuration, billing and audit logs may be retained longer.

5.3 Programmatically block:

  • i) free-text messages when the 24-hour window is closed;
  • ii) templates with status ≠ "APPROVED";
  • iii) throughput > 1 msg/sec unless Meta grants higher limits.

5.4 Suspend or throttle service if (a) the WABA quality rating falls to LOW, (b) a policy breach is detected, or (c) Meta instructs it; Oracia will notify the Client without undue delay.

5.5 Salvaguardas de sub-processadores. Together.ai, LangSmith and any future sub-processors may process message content solely under Oracia's documented instructions; they may not retain, train on, or use data for their own analytics and must delete all payloads within the same 30-day window.

6. Intellectual Property

6.1 The Client owns its message content; it grants Oracia a limited license to process and store that content solely to deliver the service.

6.2 All Oracia algorithms, agent models, prompts and interface designs remain Oracia's exclusive IP.

7. Privacy & Data Protection

7.1 Oracia acts as Processor; the Client is Controller.

7.2 Deletion requests are honored within 30 days; media is also deleted from Meta's CDN.

7.3 Sub-processors: AWS, Together.ai, LangSmith, Clerk.dev, Stripe (all under DPA/SCC).

8. Security & Incident Response

8.1 SOC 2 programme underway; daily encrypted backups in a separate AWS region (excluding message content beyond 30 days per § 5.2 c).

8.2 Security incidents affecting personal data will be reported to the Client within 72 hours.

9. Liability

9.1 Oracia's aggregate liability is limited to fees paid in the preceding 12 months and excludes lost profits.

9.2 Oracia is not liable for Cloud-API outages or number blocks caused by the Client's policy violations.

10. Termination

10.1 The Client may terminate on 30 days's notice; confidentiality and payment obligations survive.

10.2 Oracia may suspend or terminate immediately for Meta policy breaches or deactivation of the Client's WABA.

11. Governing Law

Delaware law governs, exclusive venue in state or federal courts in Wilmington, Delaware.
